Partners and Collaborators
Welcome to AMBULA, a platform that offers non-emergency individual ambulance transportation services for private patients. By registering on our platform as a Partner or Collaborator, you agree to comply with the following Terms and Conditions, which govern our partnership relationship. Acceptance of these terms is a mandatory requirement for your participation in the AMBULA Ecosystem.
1. Definition of Partnership
Registration on the AMBULA platform, via the MobileApp, and acceptance of services requested and forwarded by AMBULA, constitutes a partnership contract between AMBULA and the Partner or Collaborator. This contract is based on the provision of services and does not require formal termination by either party, and can be interrupted at any time by ceasing to provide services.
2. Quality requirements and legal compliance
All Partners and their employees must be duly registered on the INEM platform and hold all the licenses, certifications and legal documents required to carry out their duties. In addition, Partners undertake to submit to the periodic inspections required by law and conducted by INEM and/or the respective ARS.
3. Follow-up and Support
AMBULA ensures continuous monitoring of its Partners at all stages of the operation. It is our responsibility to ensure compliance with all standards and ethical principles relating to the care and service provided to customers. The support provided covers technical and operational issues and compliance with legal requirements.
4. Evaluation and Feedback
Customer satisfaction is AMBULA’s main mission. To this end, AMBULA values customers’ scores and comments on the services provided by Partners. This feedback is essential for maintaining the partnership and continuously improving the services offered.
5. Invoicing
5.1. Ambula is responsible for issuing invoices to customers at the end of each service. The invoice, with the total value of the service, will be generated automatically and sent to the customer’s e-mail address, including the services provided by Ambula and the partner.
5.2. The partner will be responsible for issuing Ambula with a weekly invoice for the services provided to Ambula. The invoice must be sent when the amounts corresponding to the services provided by the partner are transferred, respecting the amounts agreed between the parties.
6. Payment and transfer
6.1. For the intermediation, customer acquisition and support provided by Ambula, Ambula’s commission will already be reflected in the total amount of the invoice generated for the customer. Therefore, there is no need to issue additional invoices between the parties for the commission.
6.2. The partner agrees that Ambula will transfer the amount of the partner’s margin to their bank account, minus Ambula’s commission, which will be withheld at the time of the transfer.
6.3. The payment corresponding to the amount allocated to the partner will be transferred to the bank account indicated by the partner every Monday, in respect of the services provided the previous week, after Ambula’s commission has been withheld.
6.4. Ambula’s commission (including VAT, where applicable) will be automatically deducted from the amount to be transferred to the partner, and there is no need for any additional payment from the partner.
Fiscal Responsibility and Compliance
7.1. The partner is responsible for the accuracy of the information provided to AMBULA for issuing invoices on its behalf and undertakes to keep AMBULA informed of any relevant changes to its tax or commercial data.
7.2. Both parties agree to strictly comply with all tax and legal obligations relating to the issue of invoices, and are jointly and severally liable for any defaults that may arise from the execution of the obligations provided for in this term.
8. Conflict resolution
In the event of a dispute relating to the invoicing or payment of commissions, the parties undertake to resolve the matter amicably. If an amicable settlement is not possible, the dispute shall be settled in the courts of the district of [locality], with express waiver of any other.
9. Cancellation Policy
9.1. AMBULA customers have the right to cancel the ambulance transport service free of charge, as long as the cancellation is made before the start of the trip by the responsible partner team. If the customer chooses to cancel the service after the start of the trip, the full amount of the service will be charged as compensation for the resources already mobilized, and the Partner will be given the corresponding monetary value.
9.2. AMBULA’s partners reserve the right to cancel the service if necessary. However, AMBULA undertakes to find an alternative partner in the shortest possible time, ensuring that the customer receives the requested service with the least possible inconvenience.
10. Partner responsibilities
The Partner undertakes to:
Ensure compliance with all laws and regulations applicable to the transportation of patients.
Keep all documentation required for the exercise of its activity up to date.
Provide services to the highest quality standards, ensuring the safety and well-being of clients.
Actively participate in the performance assessments and continuous improvement proposed by AMBULA.

11. Termination of partnership
Given that the partnership contract is based on the provision of services, the partnership may be terminated at any time, without the need for prior notice or formal termination, by either party ceasing to provide services. AMBULA reserves the right to suspend or terminate access to the platform in the event of a breach of these Terms and Conditions.
12. Final Provisions
AMBULA reserves the right to modify these Terms and Conditions at any time by notifying Partners. Continued use of our platforms after notification of such changes constitutes acceptance of them.

2. Access to and Use of Services
2.1. In order to use AMBULA’s services, users must register on one of our platforms, providing truthful and up-to-date information.
2.2. The customer is responsible for maintaining the confidentiality of their access credentials and for all activities carried out under their account.
2.3. AMBULA reserves the right to suspend or terminate the customer’s account at any time in the event of non-compliance with these Terms and Conditions.

3. Service provision
3.1. AMBULA offers customers access to non-emergency ambulance transportation services, provided by partners who strictly comply with all the legal and regulatory requirements in force.
3.2. The service can be requested immediately or by appointment, depending on the availability of the Partners in the AMBULA network.
3.3. AMBULA undertakes to provide the customer with the service that is closest and most appropriate to their needs, but does not guarantee immediate availability in all regions.

5.1. The customer has the right to evaluate the services provided by AMBULA Partners, including the possibility of leaving comments and scores.
5.2. Customer satisfaction is AMBULA’s main mission. Therefore, any complaints or suggestions should be forwarded to our customer service department, which undertakes to deal with them with due attention and speed.
5.3. The customer undertakes to use the services lawfully and in accordance with these Terms and Conditions, and may not use them for any illegal or unauthorized purpose.

6. Payment methods
6.1. Debit or credit card:
The customer can pay for the services provided by Ambula using debit or credit cards from the Visa, Mastercard or other networks accepted by Ambula’s payment platform.
6.2. MBWay:
The customer can also choose to pay via the MBWay application, using the cell phone number associated with their MBWay account.
6.3. MB reference:
In addition, the customer can choose to pay by MB reference, generated at the time of booking, allowing payment via homebanking or ATM.
7. Payment terms
7.1. Payment is processed when the non-emergency ambulance service is confirmed, and the amount is automatically charged to the debit or credit card indicated by the customer, or via MBWay, depending on the method selected.
7.2. All payments made are processed in euros (€). The customer is responsible for any additional fees or charges imposed by their bank or card issuer.
7.3. AMBULA uses secure and encrypted payment systems to guarantee the protection of the customer’s financial data. However, AMBULA is not responsible for any damage resulting from communication network failures, processing errors or other problems related to third-party payment systems.
8. Invoicing
8.1. Invoicing by Ambula
Upon completion of the service and payment, Ambula will automatically issue the invoice to the customer on behalf of Ambula, including the total value of the service provided by Ambula and the transportation service provider. The invoice will be sent to the customer’s e-mail address provided during the booking.
8.2. The invoice issued will contain all the details required by law, including the description of the service provided, the amount paid, and the customer’s tax identification number (TIN), if this was provided during the booking process.
8.3. If the customer does not receive the invoice within 24 hours of completion of the service, they should contact AMBULA’s customer service using the available means so that the situation can be resolved.
9. Cancellation and Refunds
9.1. Cancellation free of charge
Ambula customers have the right to cancel the ambulance transport service free of charge, provided that the cancellation is made before the service is confirmed by the provider and before the start of the trip by the partner team in charge.
9.2. Cancellation Fee After Confirmation
A cancellation fee of 50% of the value of the service will apply after confirmation of the service by the service provider, which occurs after confirmation of the request and payment by the client. This fee applies due to the costs involved in payment methods, travel and damage caused to the provider partners.
9.3. Cancellation After Start of Trip
If the customer chooses to cancel the service after the start of the trip, they will be charged the full amount of the service as compensation for the resources already mobilized. The customer must respect the established cancellation policies, using the appropriate channels to make the cancellation in a clear and timely manner.
10. Limitation of Liability
10.1. AMBULA shall not be held liable for any damage or loss arising from improper use of its platforms or the service provided by Partners.
10.2. AMBULA does not guarantee that its platforms will be free of errors or interruptions, but undertakes to work continuously to improve their functionality and availability.
11. Changes to the Terms and Conditions
11.1. AMBULA reserves the right to change these Terms and Conditions at any time, and the changes will be communicated to the customer via our platforms.
11.2. Continued use of the services after communication of the changes shall be deemed acceptance of the new terms.
12. Final Provisions
12.1. These Terms and Conditions are governed by Portuguese law.
